Tilloza Technologies Limited: Terms & Conditions

1. Acceptance of Terms
By clicking "Register" or "Sign Up" on app.tilloza.com, you (the "User") agree to be bound by these Terms and Conditions. If you are registering on behalf of a business, you represent that you have the legal authority to bind that entity to these terms.
2. Services Provided
Tilloza Technologies Limited provides a cloud-based Business Management Suite including Point of Sale (POS), Inventory Management, HRM, and optional integrations (M-Pesa STK Push and KRA eTIMS).
3. Subscription & Payments

Fees: Access to Tilloza is based on a recurring subscription (Starter, Growth, Business Pro).

Billing: Subscriptions are billed monthly or annually in advance.

Non-Payment: Tilloza reserves the right to suspend account access if a subscription remains unpaid for more than 7 days past the due date.

M-Pesa Integration: Users using the STK Push feature are responsible for any transaction fees levied by Safaricom PLC.
4. User Responsibilities & Data Accuracy

The User is responsible for maintaining the confidentiality of their login credentials.

The User is responsible for the accuracy of all data entered, including product pricing, stock levels, and staff records.

Integrity: Tilloza shall not be held liable for "internal theft" or "leakage" occurring at the User's physical business premises.
5. Data Protection (Kenya Data Protection Act 2019)

Ownership: The User owns all business data entered into Tilloza.

Security: Tilloza employs industry-standard encryption to protect User data.

Access: Tilloza will not share User data with third parties except where required by law (e.g., KRA compliance requests) or to facilitate M-Pesa transactions.
6. Limitation of Liability
To the maximum extent permitted by Kenyan law, Tilloza Technologies Limited shall not be liable for:

Loss of profits or business interruptions.

Errors or delays caused by third-party services (KRA Portal, Safaricom/M-Pesa, or Internet Service Providers).

Hardware failure of any equipment not directly manufactured by Tilloza.
7. Add-on Services
One-off services such as Data Entry, On-site Training, or Custom Development are non-refundable once the service has been performed.
8. Termination

Users may cancel their subscription at any time via the Tilloza Portal. No refunds are provided for partial months.

Upon termination, Users have 30 days to export their data before it is permanently deleted from Tilloza servers.
9. Governing Law
These terms are governed by the laws of the Republic of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts in Nairobi.
